Terms of service

Terms of Service

Effective Date: September 17, 2026

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of cedarluxekitchen.com (the “Website”) and the products, information, features, and services made available through the Website (collectively, the “Services”).

The Website is operated by Cedar Luxe Outdoor Kitchens LLC (“Cedar Luxe,” “Company,” “we,” “us,” or “our”).

By visiting the Website, creating an account, submitting an enquiry, placing an order, or otherwise using the Services, you agree to these Terms and any policies incorporated into them by reference.

If you do not agree to these Terms, you must not use the Services.

2. Eligibility

You must be at least 18 years old and have reached the age of legal majority in your jurisdiction to place an order or enter into a contract through the Website.

If you use the Services on behalf of a business, organization, or other legal entity, you represent that you have authority to accept these Terms on its behalf.

You may use the Services only for lawful purposes and in accordance with these Terms.

3. Shopify

Our online store is hosted by Shopify, which provides the ecommerce platform that allows us to display and offer products and services.

Your use of certain Shopify features—including checkout, customer accounts, Shop Pay, and other Shopify-operated services—may also be subject to Shopify’s applicable terms and privacy notices.

4. Customer Accounts

Some Website features may require you to create an account.

You agree to:

  • Provide accurate, current, and complete information

  • Keep your account information updated

  • Maintain the confidentiality of your login credentials

  • Accept responsibility for activity conducted through your account

  • Notify us promptly of suspected unauthorized access

We may suspend or restrict an account where we reasonably believe it has been compromised, used fraudulently, or used in violation of these Terms.

5. Product Information

We make reasonable efforts to present product descriptions, specifications, dimensions, materials, finishes, images, colours, features, prices, and availability accurately.

However:

  • Screen settings may affect how colours and finishes appear.

  • Product images may include accessories, landscaping, appliances, cabinetry, décor, or installation features that are not included.

  • Measurements may be approximate.

  • Manufacturers may modify products or specifications.

  • Natural materials may have variations in colour, grain, texture, and appearance.

  • Product availability may change without notice.

Before ordering, you are responsible for reviewing the complete product description, included components, dimensions, fuel type, utility requirements, clearances, installation instructions, and compatibility information.

Where a discrepancy exists between general Website content and a manufacturer’s confirmed specification sheet for an approved product, the confirmed specification sheet will control unless applicable law provides otherwise.

6. Concept and Supplier-Showcase Products

Certain products may be identified as concept products, demo products, supplier-showcase products, or similar descriptions.

These products are displayed for catalogue, design, supplier-presentation, and demonstration purposes. Their images may be digitally created, and their descriptions, specifications, dimensions, components, prices, warranties, and availability may be preliminary.

A concept or supplier-showcase product is not available for fulfillment unless Cedar Luxe confirms in writing:

  • The approved manufacturer

  • Final specifications and included components

  • Final price

  • Availability and lead time

  • Warranty coverage

  • Shipping and installation requirements

Submitting an enquiry, adding a concept product to a cart, or completing an automated checkout step does not by itself create an accepted order.

If payment is received for a product that cannot be confirmed or fulfilled, we will cancel the transaction and return the applicable payment to the original payment method.

7. Orders and Contract Formation

Submitting an order is an offer to purchase the selected products subject to these Terms.

An automated order confirmation only acknowledges that we received your order. It does not mean that we have accepted the order.

An order becomes binding only after we have:

  • Verified product availability

  • Confirmed the final price and applicable charges

  • Reviewed delivery requirements

  • Successfully authorized or received payment

  • Sent written confirmation that the order has been accepted

We may refuse, limit, or cancel an order for legitimate reasons, including:

  • Product unavailability

  • Incorrect product or pricing information

  • Delivery limitations

  • Payment or billing problems

  • Suspected fraud or unauthorized activity

  • Supplier restrictions

  • Quantity limitations

  • Errors affecting the order

  • Inability to verify required information

  • A concept product not being available for fulfillment

If we cancel an order after payment has been collected, we will return the applicable amount to the original payment method, subject to any lawful deductions expressly agreed upon for customized or already-commenced work.

8. Prices, Currency, Taxes, and Payment

Prices may be displayed in U.S. dollars, Canadian dollars, or another currency identified on the Website.

Currency conversion amounts may be estimates and may differ from the amount ultimately charged by your bank or payment provider. Your financial institution may impose foreign-exchange or international transaction fees.

Prices are subject to change before an order is accepted. Once we accept an order, the confirmed product price will not change unless:

  • You request a change;

  • Additional services or products are added;

  • Delivery information was inaccurate or incomplete; or

  • A pricing error is identified and you agree to the corrected price.

Applicable sales taxes, shipping charges, customs duties, brokerage fees, and other charges will be displayed at checkout or communicated before the order is finalized where reasonably possible.

Accepted payment methods are those shown during checkout. Payments may be processed by Shopify Payments or another authorized payment provider. You agree to provide accurate and complete payment and billing information and confirm that you are authorized to use the selected payment method.

9. Shipping and Delivery

Shipping and delivery are governed by our Shipping Policy, which is incorporated into these Terms.

Delivery dates are estimates unless expressly guaranteed in writing. Manufacturer delays, carrier disruptions, customs processing, severe weather, supply-chain interruptions, incorrect delivery information, and other circumstances outside our reasonable control may affect delivery.

Risk of loss passes to you when the product is delivered to the delivery location, except where applicable law requires otherwise.

You must inspect freight and oversized products at delivery, note visible damage or shortages on the carrier’s documentation, retain the packaging, and report damage in accordance with our Shipping Policy.

10. Installation, Site Preparation, and Permits

Unless expressly included in your written order confirmation, product prices do not include:

  • Site inspection or preparation

  • Assembly

  • Installation

  • Structural work

  • Foundation or anchoring work

  • Electrical work

  • Plumbing

  • Gas connection

  • Ventilation work

  • Permits or inspections

  • Removal or disposal of packaging

  • Removal of an existing product

Outdoor kitchens, grills, refrigerators, pizza ovens, pergolas, and related products may require professional installation.

You are responsible for:

  • Confirming that the product fits the intended location

  • Providing safe and adequate delivery access

  • Verifying structural capacity and clearances

  • Obtaining required permits and approvals

  • Complying with applicable building, fire, electrical, plumbing, gas, zoning, condominium, strata, homeowners’ association, and safety requirements

  • Hiring appropriately licensed and qualified professionals

  • Following the manufacturer’s instructions

Do not schedule contractors or begin construction based solely on estimated delivery dates.

Cedar Luxe is not responsible for installation work performed by independent contractors unless the installer is expressly engaged by Cedar Luxe under a separate written agreement.

11. Returns, Cancellations, and Refunds

Returns, cancellations, exchanges, restocking fees, and refunds are governed by our Return and Refund Policy, which is incorporated into these Terms.

Special-order, customized, configured, clearance, installed, assembled, or made-to-order products may not be returnable except where defective, incorrectly supplied, or otherwise required by law.

Nothing in these Terms limits any mandatory cancellation, refund, or consumer rights that cannot lawfully be excluded.

12. Manufacturer Warranties

Products may be covered by warranties offered by their manufacturers. Warranty duration, coverage, exclusions, registration requirements, and claim procedures vary by product and manufacturer.

You are responsible for reviewing and following the applicable manufacturer’s warranty requirements, including any requirements concerning:

  • Product registration

  • Authorized installation

  • Maintenance

  • Approved replacement parts

  • Fuel or utility connections

  • Outdoor protection or winterization

  • Proof of purchase

Cedar Luxe will provide reasonable assistance with a valid manufacturer warranty claim when appropriate, but the manufacturer is generally responsible for deciding and fulfilling claims under its warranty.

Except where Cedar Luxe expressly provides a separate written warranty, we do not create an additional product warranty beyond the manufacturer’s warranty and rights provided by applicable law.

13. Intellectual Property

The Website and its content—including the Cedar Luxe name, logos, graphics, photographs, product arrangements, written content, design elements, videos, and software—are owned by or licensed to Cedar Luxe and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, and non-transferable licence to access and use the Website for lawful personal or internal business purposes.

You may not, without our prior written permission:

  • Copy, reproduce, distribute, republish, or commercially exploit Website content

  • Remove copyright, trademark, or ownership notices

  • Use Cedar Luxe branding in a misleading manner

  • Use Website content to create a competing catalogue or service

  • Scrape, harvest, or systematically extract Website data

  • Frame or mirror a material portion of the Website

  • Use our trademarks, metadata, or hidden text to misrepresent affiliation

Manufacturer names and trademarks belong to their respective owners.

14. Reviews, Feedback, and Other Submissions

If you submit a review, photograph, testimonial, comment, suggestion, or other content (“User Content”), you confirm that:

  • You own or have permission to submit it.

  • It is accurate and based on a genuine experience where represented as such.

  • It does not violate another person’s rights.

  • It is not unlawful, misleading, defamatory, abusive, obscene, or malicious.

  • It does not contain harmful code or unauthorized advertising.

You grant Cedar Luxe a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, publish, and display your User Content for operating, improving, and promoting our business and Services.

We may remove User Content that violates these Terms or applicable law.

15. Prohibited Conduct

You must not:

  • Use the Website for unlawful, fraudulent, or abusive purposes

  • Provide false information or impersonate another person

  • Attempt unauthorized access to the Website, accounts, systems, or networks

  • Introduce viruses, malware, or harmful code

  • Interfere with Website security or functionality

  • Use automated systems to scrape or overload the Website

  • Circumvent access controls or security measures

  • Conduct fraudulent payment activity

  • Infringe intellectual-property, privacy, or other legal rights

  • Use the Services in a way that could harm Cedar Luxe, our customers, suppliers, or service providers

16. Third-Party Services and Links

The Website may contain links to manufacturer websites, payment providers, shipping carriers, social-media platforms, installers, or other third-party services.

Third parties operate independently and may have their own terms and privacy practices. A link or integration does not necessarily mean that Cedar Luxe endorses or controls the third party.

To the extent permitted by law, Cedar Luxe is not responsible for third-party websites, services, content, conduct, or transactions.

17. Privacy and Cookies

Our collection and handling of personal information are described in our Privacy Policy.

Our use of cookies and similar technologies is described in our Cookie Policy.

By using the Services, you acknowledge that your information may be processed by Shopify and other service providers required to operate the Website, process payments, fulfill orders, prevent fraud, and provide customer support.

18. Disclaimers

To the fullest extent permitted by applicable law:

  • The Website and general Website content are provided on an “as available” basis.

  • We do not guarantee that the Website will always be uninterrupted, secure, complete, or error-free.

  • General articles, guides, images, and Website content are provided for informational purposes and are not professional architectural, engineering, electrical, plumbing, gas-fitting, construction, legal, or safety advice.

  • You must rely on approved product documentation and qualified professionals when planning or installing a product.

Nothing in these Terms excludes warranties, representations, conditions, remedies, or consumer rights that cannot legally be excluded or limited.

19. Limitation of Liability

To the fullest extent permitted by law, Cedar Luxe and its officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from your use of the Website or products, including lost profits, lost opportunities, or project delays.

Where liability cannot be excluded, Cedar Luxe’s aggregate liability relating to a product or order will not exceed the amount you paid Cedar Luxe for the product or order giving rise to the claim, except where a greater remedy is required by applicable law.

These limitations do not apply to liability that cannot legally be limited or excluded, including liability arising from fraud, willful misconduct, or other legally non-excludable conduct.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold Cedar Luxe harmless from third-party claims, damages, or reasonable costs arising directly from:

  • Your unlawful misuse of the Services

  • Your material violation of these Terms

  • User Content you submit

  • Your infringement of another party’s rights

  • Installation or modification performed contrary to manufacturer instructions or applicable law

This section does not require a consumer to indemnify Cedar Luxe for Cedar Luxe’s own negligence, breach of contract, or unlawful conduct.

21. Suspension and Termination

We may suspend or terminate access to the Services if we reasonably believe that you:

  • Materially violated these Terms

  • Used the Website fraudulently or unlawfully

  • Created a security or operational risk

  • Infringed another party’s rights

Provisions that by their nature should survive termination—including payment obligations, intellectual-property provisions, limitations of liability, indemnification, and dispute provisions—will remain in effect.

22. Governing Law

These Terms are governed by the laws of the State of Wyoming and applicable federal laws of the United States, without regard to conflict-of-law principles.

However, if you are a consumer, you may also benefit from mandatory consumer-protection rights under the laws of your state, province, territory, or country. Nothing in these Terms removes rights that cannot lawfully be waived.

23. Dispute Resolution

Before starting formal proceedings, you and Cedar Luxe agree to make a reasonable good-faith effort to resolve the dispute.

Please send a written description of the issue, the relevant order number, the requested resolution, and your contact information to support@cedarluxekitchen.com.

If the dispute is not resolved informally, claims may be brought before a court with lawful jurisdiction. Subject to mandatory consumer-protection laws, the parties consent to the state or federal courts serving Sheridan County, Wyoming.

Either party may bring an eligible claim in small-claims court.

24. Events Beyond Our Control

Cedar Luxe is not responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, labour disruption, transportation interruption, customs delays, supplier interruption, utility failure, government action, public-health emergencies, war, terrorism, or widespread technology failures.

This section does not remove any refund, cancellation, or other rights required by law.

25. Changes to These Terms

We may update these Terms to reflect changes in our Services, products, suppliers, technology, policies, or legal obligations.

Updated Terms become effective when posted on the Website. The effective date at the beginning of the Terms shows when they were most recently revised.

Changes will not retroactively alter an accepted order unless required by law or agreed to by both parties.

26. Miscellaneous

26.1 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

26.2 No Waiver

Failure to enforce a provision does not waive our right to enforce it later.

26.3 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations as part of a merger, acquisition, reorganization, financing, or sale of all or part of our business, subject to applicable law.

26.4 Entire Agreement

These Terms and the policies incorporated by reference constitute the agreement between you and Cedar Luxe regarding the Website and Services, except for any separate written agreement applicable to a specific purchase, installation, commercial project, or supplier relationship.

If a separately signed written agreement conflicts with these Terms, the signed agreement controls for the subject it covers.

26.5 Electronic Communications

You agree that order confirmations, notices, disclosures, invoices, and other communications may be provided electronically, subject to applicable law.

26.6 Headings

Section headings are provided for convenience and do not affect the interpretation of these Terms.
